These Terms of Service govern the contractual relationship between NEASHY LTD, which operates the ShinyCatch platform available at https://shinycatch.com and each natural person who accesses, purchases or uses the Services.
By accessing, purchasing, or using the Services, you agree to these Terms of Service and to any additional policies that apply to the Services, including the Privacy Policy and other information displayed on the Platform.
If you do not agree to these Terms of Service, you must not use the Services.
IMPORTANT NOTICE: ShinyCatch offers purchases of physical graded cards and its features are designed for entertainment and to bring together Card enthusiasts and collectors in an interactive, community-driven environment. The Card allocated to you from each Pack is determined at random, you cannot choose it, and its Value may be lower than the price you paid for the Pack. Values are estimates that may rise or fall, are not a guaranteed return, and you may not be able to sell a Card at its Value. Cards are collectibles, not investments, and you should not spend more than you can afford. Please read these Terms carefully before purchasing or opening any Pack.

2. Agreement and applicable policies

2.2. These Terms of Service, together with the Privacy Policy, which explains how personal information is collected and used, and any terms presented at checkout or in a specific offer, form the agreement between you and the Company (the “Agreement”).
2.3. If there is a conflict between the Agreement and a specific policy, the specific policy will apply to the subject matter it covers, unless the Agreement expressly states otherwise.
3. Account creation and access
3.1. To access certain Services, you may need to create an Account, provide your email address, date of birth, country, and a nickname (and, optionally, an avatar image), log in using an email code, a passkey, or Google sign-in, submit information, or follow instructions shown on the Platform. 3.2. You agree to provide accurate, current, and complete information and to keep your information up to date.
3.3. You must keep your Account credentials confidential and must not share your Account or login credentials with anyone. You are responsible for all activity that occurs under your Account, unless it results from an error of the Company. If your Account is accessed without authorization because your password, login code, passkey, or device was compromised, the Company will not compensate you for any resulting loss. If unauthorized access results from the Company’s error, the Company will restore the affected Cards and Balance. To help protect your Account, Cards are shipped only to your verified name, withdrawals are made only to a bank account in your own name, and the Company may cancel any suspicious sale to a linked Account. You can review the devices and network signals associated with your Account in the Security section of your Account settings.
3.4. Accounts are for personal use only unless we expressly agree otherwise in writing. You must not sell, gift, or otherwise transfer your Account to any other person. If we detect any such sale, gift, or transfer, we may suspend or terminate your Account in accordance with Section 15.

4. License to use the Services
4.1. Subject to this Agreement, your compliance with all applicable policies, and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, lawful, and permitted purposes.
4.2. The scope and duration of your access depend on the Services, purchase type, usage limits, Balance, and features made available to you.
4.3. You must not use the Services for any purpose not expressly permitted by this Agreement or applicable law.
4.4. We may change or discontinue any part of the Services as described in Section 18.
5. Intellectual property
5.1. Unless expressly stated otherwise, the Services and all related software, content, designs, trademarks, and other materials are owned by the Company, its affiliates, or their licensors and are protected by intellectual property and other laws. Cards may feature names, artwork, and trademarks of third parties, which remain the property of their respective owners. The Company is not affiliated with or endorsed by those owners, and acquiring a Card does not give you any rights in their intellectual property.
5.2. You must not:
- copy, reproduce, modify, adapt, translate, distribute, sell, rent, lease, sublicense, publicly display, or commercially exploit any part of the Services except as expressly permitted;
- reverse engineer, decompile, disassemble, scrape, extract, or attempt to derive the source code, models, algorithms, structure, or underlying ideas of the Services, except where applicable law expressly allows this;
- remove copyright, trademark, proprietary, or rights-management notices;
- use the Services to develop, train, improve, or support a competing product or service; or
- use our names, trademarks, logos, branding, or materials without our prior written permission.
6. User content and inputs
6.1. You may be able to submit content (such as text, images, or feedback) through the Services.
6.2. You represent and warrant that you have all rights necessary to submit that content.
6.3. You must not upload or submit content that infringes third-party rights (including privacy or publicity rights), is unlawful or harmful, or contains another person’s confidential or personal information without authorization.
6.4. You retain any rights you have in your own content, subject to the license granted below.
6.5. To operate and improve the Services, you grant the Company, its affiliates, and its service providers a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use your content as reasonably necessary for those purposes and as described in the Privacy Policy.
6.6. You are solely responsible for any content you provide through the Services.
7. The Platform and how it works
7.1. ShinyCatch is an online platform through which you can buy, store, sell, and ship real graded trading cards. You can add money to your Balance, use your Balance, Promo Credit, or Points to purchase Packs, and receive one Card from each Pack you purchase. Each Card allocated to you is stored in the Vault on your behalf. After a Card is allocated to you, you may: (a) keep it in your collection in the Vault; (b) sell it to the Company through the Buyback; (c) list it for sale to other users on the Marketplace; or (d) request that it be shipped to you, in each case in accordance with this Agreement and the rules displayed on the Platform.
7.2. Every Pack you open delivers a Card. When you open a Pack, you acquire a collectible product whose specific contents are not known until the Pack is opened. The Card you receive may have a Value that is higher or lower than the price you paid for the Pack. There is no outcome where a completed Pack contains no Card.
7.3. The Platform should be used for collecting and entertainment purposes. The Platform does not offer cash prizes. You confirm that you open Packs to obtain collectible Cards for your personal collection and enjoyment, and not for the purpose of winning money or making a profit.
7.4. Regulatory characterization. The Platform enables users to purchase Packs, each of which allocates one physical Card at random from defined inventory to their Accounts. The Company does not intend to offer gambling services and does not market the Platform as a gambling service. Your Balance is not a bank account, deposit, electronic money, or financial instrument, and the Company does not provide banking, payment, or investment services.
7.5. Cards are collectibles, not investments. Values are the Company’s good-faith estimates and are not guaranteed to match a future sale. The Company does not guarantee that any Card can be resold. Nothing on the Platform, including any Value, odds, or statistic, constitutes financial, investment, tax, legal, or valuation advice.
7.6. Assumption of risk. You accept that Pack outcomes are random, that Values and Buyback rates may change, and that Marketplace transactions depend on other users. The Company’s liability for these matters is governed by Section 20.5.
7.7. Some features may be available only in some locations, may be subject to additional rules displayed on the Platform, and may be changed, suspended, or withdrawn at any time. Where specific rules are displayed for a feature, those rules form part of this Agreement.
8. Balance and Promo Credit
8.1. Balance. Your Balance is held in US dollars (USD). You may add money to your Balance by card payment as described in Section 13. Buyback proceeds, Marketplace sale proceeds, refunds, and other amounts payable to you under this Agreement are also credited to your Balance.
8.2. Nature of Balance. Your Balance is an internal record of the amount the Company owes you under this Agreement. It is not a bank account, deposit, electronic money, a payment instrument, a security, a crypto-asset, or any other financial instrument, and it does not earn interest.
8.3. Withdrawals and transfers. You may withdraw your Balance as described in Section 13.7. Your Balance cannot be sold or transferred to any other Account or person, except through a Platform feature that expressly allows it (such as a Marketplace purchase). Any attempt to sell or transfer Balance, Promo Credit, Points, or Accounts outside the Platform is a breach of this Agreement.
8.4. Use of Balance. Your Balance may be used to purchase Packs, to buy Cards on the Marketplace, to pay shipping and other fees displayed on the Platform, and for other uses expressly enabled on the Platform. Marketplace purchases can be paid only from your Balance, not with Promo Credit or Points.
8.5. Promo Credit. The Company may credit Promo Credit to your Account free of charge, for example through referrals, Reward Boards, or other promotions. If you sell a Card obtained with Promo Credit through the Buyback, the proceeds are credited as Promo Credit and not to your Balance. Promo Credit can be spent on Packs and shipping fees only. When you purchase a Pack, your Balance is always used first and Promo Credit after that. Promo Credit cannot be withdrawn, transferred, or used on the Marketplace. Promo Credit expires after 30 days.
9. Packs
9.1. Pack information and odds. Before you open a Pack, the Platform displays its price in USD, the five tiers of Cards it may contain (Stock, Select, Hit, Showcase, and Grail), the probability of receiving a Card from each tier, the range of Values within each tier as a multiple of the Pack price, the number of eligible Cards remaining in the pool, the Buyback rate, the hash of the server seed, and the odds version. You may purchase one to five Packs at a time, and each Pack is a separate draw. The odds of a Pack are published as a version. Pack inventory is finite, and the odds may change when the stock of a Pack changes; each change is published as a new odds version and is shown on the Pack page immediately. Your purchase is always made at the odds version you saw and confirmed. If the odds version changes between your review and your confirmation, the purchase is rejected and the updated odds are shown to you. The odds of a Pack you have already purchased can never be changed. A paused Pack is not available for sale. The expected value of a Pack is an estimate and not a guaranteed return.
9.2. Provably fair allocation. Cards are allocated using a provably fair process: before your purchase, the Company commits to a server seed and displays its hash, your device contributes its own seed, and public randomness from drand is added, so that neither party can choose the result. After your purchase, anyone can verify the result on the public verification page on the Platform, and the Company publishes a public log of Pack pool hashes. The Company does not manipulate the outcome of any individual opening.
9.3. Finality. Once you confirm a Pack opening, it is final and cannot be cancelled, reversed, or refunded, except as provided in Sections 9.7 and 13.6.
9.4. Technical failure. If a technical failure occurs after your purchase is completed, the result has already been determined by the committed seed and the drand randomness, and the Card is allocated to your Account, an unopened Pack is opened automatically as described in Section 9.6. If a technical failure prevents your purchase from being completed, you are not charged. If you become aware of any bug, error, glitch, or vulnerability in the Platform, you must promptly notify us and stop using the affected Services until we confirm that the issue has been resolved. If we determine that you used or continued to use the Services while you knew, or ought reasonably to have known, of such an issue and did not notify us, you will be deemed to have exploited it in breach of Section 17.8(c), and we may, in addition to our rights under Section 15, remove all Cards held in your Account, to the extent permitted by applicable law.
9.5. Lost or damaged Cards. If the Card determined for an opening, or a Card held in your Account, is lost or damaged, the Company will compensate you by crediting your Balance with an amount equal to the Card’s Value or by allocating to you an equivalent Card.
9.6. After opening. After a Pack is opened, you may keep the Card, sell it back to the Company through the Buyback, or list it on the Marketplace. If you make no choice within 24 hours, you are deemed to have kept the Card. A Pack that you have purchased but not opened is opened automatically after 7 days, and the Card is added to your collection as kept; we will remind you after 6 days.
9.7. Value Guarantee. If the Card you receive from your first Pack bought with money from your first deposit (for a Pack priced up to USD 100 and purchased within 7 days of registration) has a Value lower than the price you paid for the Pack, you may return that Card within 7 days and receive the price you paid back to your Balance, provided the Card is still in the Vault. The Value Guarantee ends if you sell the Card through the Buyback.
9.8. Demo openings. A free demo opening is marked as a demo, is not a real Pack opening, and does not allocate any Card to your Account.
10. Rip Battles
10.1. Rip Battles. In a Rip Battle, you purchase one Pack (your “rip”), which is an ordinary Pack purchase with its own proof under Section 9.2, and challenge other users to beat it, either openly, by naming a specific user by username, or by sharing a link. To accept a challenge, a user must purchase the same Pack at the same odds version (or a later odds version at the same price). A challenge is valid for the period displayed on the Platform (currently 72 hours), after which it expires, and you may cancel it until it is accepted. The rip with the higher Value wins. If both rips have equal Value, the Rip Battle is a draw and there is no winner. Each participant keeps the Card from their own Pack: nothing is staked, and no Cards pass between participants. Winning gives you a win record, a streak, experience points, and a place on the Rip Battles leaderboard described in Section 11.4. Each rip is hidden from the other participant until both Packs are opened. If a participant leaves or disconnects, the result is determined once both Packs are opened, and an unopened Pack is opened automatically as described in Section 9.6. The Company may void a Rip Battle in case of abuse, in which case each participant keeps the Card from their own Pack.
11. Rewards and promotions
11.1. Rewards. The Company may offer rewards and loyalty features (the “Rewards”). Rewards are offered at the Company’s sole discretion and may be changed, suspended, or withdrawn at any time, with or without notice, to the extent permitted by applicable law.
11.2. Points. You earn 8 Points for every USD 1 of money spent on Packs, subject to any VIP multiplier under Section 11.3. Points have the USD value displayed on the Platform (currently USD 0.0005 per Point) and are always displayed together with their USD value. Points can be used only to purchase Packs, and only once your total deposits reach USD 25. Points expire if they are not used for 12 months, and we will notify you 30 days before they expire. Points and other Rewards cannot be withdrawn or exchanged for money, and cannot be sold, transferred, or combined between Accounts. No Reward, prize, or Reward Board prize is paid in cash.
11.3. Experience points, levels, VIP tiers, and quests. You earn 1 experience point for every USD 1 of money spent on Packs. There are 100 levels. Levels unlock cosmetic items, and every fifth level also awards Points. Your VIP tier is based on the money you spend on Packs over a rolling 90-day period: Bronze from USD 250, Silver from USD 1,000, Gold from USD 5,000, Platinum from USD 20,000, and Diamond from USD 75,000. You move up a VIP tier as soon as you reach its threshold, and you move down a tier only after 30 days below it. VIP benefits include a Points multiplier of between 1.1x and 1.5x, an increase in your Buyback rate of between 0.05% and 0.25%, from Gold tier access to exclusive Packs and faster review of withdrawals, and a monthly bonus of USD 12.50 at Platinum tier and USD 50 at Diamond tier. The benefits of each VIP tier are displayed on the Platform. Three daily quests and up to six weekly quests are available, and quests can be completed only by performing actions on the Platform.
11.4. Reward Boards. The Company may operate leaderboards and reward boards (“Reward Boards”) that rank eligible users over a weekly or monthly period by experience points earned, collection milestones reached, experience points from quests claimed, or the highest ratio of a Card’s Value to the price of the Pack from which it was pulled. The ranking criteria, period, and prizes for each Reward Board are displayed on the Platform and form part of the Promotion Rules. Reward Board prizes are Promo Credit or Points credited to your Account, never cash, and are subject to Sections 11.2, 11.8, and 11.10. In addition, the Company operates a Rip Battles leaderboard, which awards a weekly prize of Promo Credit or Points to the first place. Weekly Reward Boards reset every Monday, and monthly Reward Boards reset on the first day of each month, in each case at 00:00 UTC. Company employees are not eligible for Reward Board prizes. The Company may remove a user from a Reward Board, or adjust their ranking, if their position results from a breach of this Agreement or the Promotion Rules.
11.5. Daily Pull. The Daily Pull allows you, once every calendar day (UTC), to spin a wheel free of charge for a randomly selected number of Points. Consecutive days of participation increase the Points awarded, up to 2x from the seventh consecutive day, and one missed day per calendar month does not break your streak. No purchase is required to take part in the Daily Pull, and a purchase does not increase your chances or the number of Daily Pulls available to you. Points obtained through the Daily Pull are subject to Section 11.2. The Company may change or withdraw the Daily Pull at any time in accordance with Section 11.1.
11.6. Promotion rules. Individual promotions, giveaways, and campaigns may be subject to additional rules, eligibility criteria, and time limits displayed on the Platform (“Promotion Rules”). If the Promotion Rules conflict with this Agreement, the Promotion Rules prevail for that promotion.
11.7. Giveaways. No purchase is necessary to enter or win a giveaway. One free entry is available per calendar day (UTC), without any purchase, and one additional entry is given for every USD 10 of money spent on Packs during the giveaway, up to the per-person limit displayed for that giveaway (currently 10 entries for daily, 50 for weekly, and 200 for monthly giveaways). Each free entry carries the same weight as any entry obtained in connection with a purchase. Each giveaway is open to users aged 18 or over with an Account in good standing who are located in a jurisdiction where participation is permitted. In California, Washington, Idaho, and New York, only free entries are available. Company employees are not eligible to win. Daily, weekly, and monthly giveaways run for the relevant day, week, or month, and campaign giveaways run for the dates displayed on the Platform. The prizes for each giveaway are specific Cards of the Company, reserved when the giveaway is created, and are never credit. Each person may win only one prize per giveaway. At the close of the entry period, the list of entries is frozen and published together with its hash, and the winners are selected using a drand randomness round announced in advance. Ineligible entries are skipped, and anyone can verify the draw on the public verification page on the Platform. Winners are notified in the app and by email immediately after the draw. The prize Card is credited to the winner’s Account immediately, without any need to claim it. However, a prize with a Value of USD 600 or more is credited only after the winner completes identity verification. Giveaways are void where prohibited or restricted by law.
11.8. Winners. Before a prize is credited, the Company may require a winner to verify their identity, age, location, and eligibility. The Company may disqualify any entrant, and award the prize to an alternate winner, if the original winner is ineligible, cannot be verified or contacted within the period stated in the Promotion Rules, or has breached this Agreement or the Promotion Rules. You are responsible for any taxes that apply to prizes you receive.
11.9. Referrals. A new user who joins the Platform through your referral link or code is an eligible referred user. The referred user receives a starter Pack in the form of Promo Credit that can be used only for that Pack. You receive the same reward when the referred user has deposited USD 25 and opened a Pack paid with money, and referral rewards are credited at that moment. You may receive referral rewards for up to 10 referred users per month, and referrals involving a shared device are held for review.
11.10. Abuse of promotions. The Company may withhold, cancel, reverse, or recover any Rewards, Promo Credit, prizes, or Cards obtained in breach of this Agreement or the Promotion Rules, including through multiple Accounts, automated means, collusion, or any conduct described in Section 17.8, and may exclude any user from current or future promotions, without liability.
11.11. Publicity. To the extent permitted by applicable law, and with your consent where required, the Company may publish the username of a winner and a description of the prize won.
12. Cards, Vault, Buyback, Marketplace, and shipping
12.1. Account records. The records on the Platform are the authoritative record of which Cards are held in your Account, absent manifest error. Every Card on ShinyCatch is a real graded card that has already been professionally graded by PSA, BGS, CGC, SGC, or TAG, and each Card allocated to you is a specific physical card held in the Vault. Legal title to a Card transfers to you when the Company records the transaction as completed, and the Company does not become the owner of your Card merely because it remains in the Vault.
12.2. Grading. Professional grading companies are independent third parties. The Company does not control their grading standards, decisions, labels, or certification databases, and does not guarantee the accuracy of any grade or of any other information provided by a grading company. A grade is the grading company’s opinion and is not a guarantee by the Company of a Card’s authenticity, condition, or Value.
12.3. Vault storage. Cards stay in the Vault until you decide what to do with them. The Company takes reasonable care of them. The Vault is operated by a third-party storage provider and is insured for 100% of the market value of the Cards it holds. If a Card is lost or damaged, the Company will compensate you as described in Section 9.5. If the Company decides to permanently cease operating the Platform or the Vault, it will give you notice, during which you may request that your Cards be shipped to you.
12.4. Buyback. After a Card is allocated to you, the Company offers to buy it back from you, so that you can sell it back for the Buyback rate shown on the Pack (currently 90%) of the Card’s current Value, rounded down to the nearest cent and paid in money to your Balance. Your Buyback rate climbs as your VIP tier does, as described in Section 11.3. The Buyback offer remains available for as long as the Card is held in the Vault. The Buyback applies only to Cards allocated to you by the Company through Packs or giveaways; Cards bought on the Marketplace are for resale only and cannot be sold through the Buyback. When you accept a Buyback offer, the Card is removed from your Account, the amount is credited to your Balance, and the Card returns to the Company’s pool. Buyback transactions are final.
12.5. Marketplace. You may list Cards held in the Vault for sale to other users at a fixed price, by accepting offers, or by auction, as enabled on the Platform. All Marketplace prices are set by sellers and are denominated and settled in USD, and Marketplace purchases can be paid only with money from your Balance, not with Promo Credit or Points. The Company may also list its own Cards on the Marketplace, but Company employees may not buy the Company’s lots.
12.6. Auctions, offers, and drop nights. Auctions use proxy bidding, and the full maximum amount of your bid is reserved from your Balance. A buy-out price, if set, must be at least 40% above the starting price and is removed after the first bid. Auctions have a two-minute soft close, meaning that a bid placed in the final two minutes extends the auction. The Company may hold drop nights, which are series of Company auctions in which the first lot closes after 10 minutes and each following lot closes one minute after the previous one. You may make an offer on another user’s fixed-price listing of at least half of the listing price; each side may respond up to three times, an offer is valid for 48 hours, and the offered amount is reserved from your Balance. Offers cannot be made on the Company’s listings.
12.7. When a Marketplace sale completes, the Card remains in the Vault and is recorded in the buyer’s Account, and the sale price less applicable fees is credited to the seller’s Balance. Except where the Company is itself the seller, the Company is not a party to sales between users and acts only as operator of the Marketplace.
12.8. Marketplace fees. A seller fee of 5% of the sale price, deducted from the seller’s proceeds with no buyer fee and no listing fee, is displayed on the Platform before you list or buy. The fee is rounded half up, and the seller’s proceeds are rounded down, to the nearest cent. Bids and accepted offers are binding. The Company may set rules on minimum prices, offers, auctions, and listing durations, and may remove any listing, cancel any transaction, or restrict any user where it reasonably suspects fraud, market manipulation, wash trading, collusion, or a breach of this Agreement.
12.9. Shipping. You may request that your Cards be shipped to you, and up to 20 Cards may be included in one shipment. Before shipment, you must complete identity verification under Section 17.5, and the Cards will be shipped only to your verified name at an address in the United States, Canada, the United Kingdom, the European Union, or Australia. You must provide a telephone number for the carrier. Shipping fees and insurance are displayed before you confirm the request and are paid with money from your Balance or with Promo Credit. Currently, shipping costs USD 6 within the United States and USD 25 for international shipments, plus USD 1 for each Card after the first, and insurance costs 1.5% of the declared value (minimum USD 1). Shipping is free for shipments with a declared value of USD 500 or more, but insurance still applies. The declared value is the Value of the Cards at the time of your request. You may cancel a shipping request until packing has started, in which case the fees you paid are returned. If a shipment is returned undelivered, the Cards are returned to the Vault and the fees are not refunded. You are responsible for any customs duties, import taxes, or charges in the destination country.
12.10. Risk of loss of the Cards passes to you when the Company hands it to the carrier. From then on, the Company is not responsible for any loss of, damage to, or failure to deliver the shipment. You are responsible for providing a correct and complete address.
13. Payments, Balance, and withdrawals
13.1. Adding money. You may add money to your Balance in USD by card payment through our payment service provider, using the payment methods displayed at checkout. The Company covers the payment provider’s processing fee, so the full amount you pay is credited to your Balance.
13.2. The price of each Pack and the amount of any payment and applicable fees are displayed in USD before you complete your purchase. By completing a purchase, you authorize us and our payment service providers to charge your payment method and confirm that you are its authorized holder.
13.3. Right of withdrawal. A Pack is opened, and its Card allocated, immediately on purchase. By purchasing a Pack, you expressly request immediate performance and acknowledge that, if you are a consumer with a statutory right of withdrawal, you lose that right once the Card is allocated to your Account.
13.4. No refunds. Pack purchases are final and non-refundable, and there is no refund for a completed Pack opening, except as provided in Sections 9.7 and 13.6 or where required by applicable law.
13.5. Chargebacks. If you dispute a payment with your bank or card issuer, your Account will be frozen while our finance team reviews the dispute. If the dispute is resolved against the Company, the deposit remains reversed and the corresponding amount is deducted from your Balance.
13.6. Errors. The Company may correct or cancel any transaction affected by an error, such as an obvious pricing error, an incorrect Value or Buyback amount, a duplicate credit, or a technically impossible allocation, and will, where reasonably possible, restore the parties to their position before the transaction.
13.7. Withdrawals. You may withdraw your Balance only in money, to a bank account held in your own name, after completing identity verification under Section 17.5. The minimum withdrawal amount is USD 25, and you may have only one pending withdrawal at a time. The amount of a pending withdrawal is reserved from your Balance while our finance team reviews it, and you may cancel the withdrawal until the review is completed. Promo Credit and Points cannot be withdrawn.
14. Third-party services and payment providers
14.1. The Services may rely on or link to third-party services, such as payment processors, cloud and analytics providers, and external websites.
14.2. Third-party services may be subject to their own terms, privacy notices, fees, rules, and technical requirements. We are not responsible for third-party services.
14.3. You are responsible for complying with the terms of any payment provider you use.
15. Suspension and termination
15.1. To the extent permitted by applicable law and without liability to you, we may suspend, restrict, or terminate your access to the Services, Account, features, or content, void, reverse, or cancel any affected Pack opening, Marketplace or Buyback transaction, bid, Reward, or prize, freeze, deduct, or forfeit any affected Balance, Promo Credit, Rewards, or Cards, and withhold the shipping of Cards, if we reasonably believe that:
-
you have breached this Agreement or any applicable policy;
-
payment has failed or a charge is disputed, reversed, or unauthorized;
-
your Account, access, or activity creates security, legal, financial, reputational, technical, or operational risk;
-
your use of the Services violates applicable law or third-party rights;
-
information you provided is inaccurate, incomplete, fraudulent, or misleading;
-
you are under the required age, are located in a restricted jurisdiction, or are listed on a Sanctions List; or
-
suspension or termination is necessary to protect the Company, users, third parties, or the Services.
15.2. Where reasonable and legally permitted, we may notify you of the reason for suspension or termination and may give you an opportunity to remedy the issue. We are not required to provide notice or an opportunity to cure where doing so would create risk, violate law, compromise security, interfere with an investigation, or harm the Company or others.
15.3. You may stop using the Services at any time. You may close your Account at any time by selecting “Delete account” in your Account settings. The deletion takes effect after a 14-day cooling-off period, during which you are signed out of all devices. If you sign in during that period, the deletion is cancelled. When the deletion takes effect, your personal data is deleted in accordance with the Privacy Policy, but the Company keeps its records of your transactions.
15.4. Effect of suspension and closure. While your Account is suspended, you may not use, sell, ship, or otherwise deal with any Cards. If your Account is closed or terminated for any reason, whether by you or by us, you do not lose your Cards or your Balance, except as provided in Section 15.1. Before you delete your Account, you should sell, ship, or withdraw your Cards and Balance. Any Cards remaining in your Account when the deletion takes effect will be sold to the Company through the Buyback at the Buyback rate in effect at that time, and the proceeds will be credited to your Balance.
15.5. Inactive Accounts. Account inactivity never causes a forfeiture of value. Your Account becomes inactive if there is no login, purchase, Buyback, Marketplace activity, or withdrawal for 180 consecutive days. We will then send a first notice to you at least 60 days before any conversion takes effect, informing you that your Account is inactive and asking you to deal with your Cards and Balance, and a second notice at least 30 days before any conversion takes effect, asking you to provide shipping details for your Cards and the details of a bank account in your name to which your Balance can be withdrawn. You must provide those details before the conversion takes effect. Any Account activity before a conversion takes effect cancels that conversion. If your Account remains inactive after those notices, the Company may sell the Cards held in your Account through the Buyback at the Buyback rate in effect at that time (currently 90% of their Value). The proceeds are credited to your Balance, and the Cards return to the Company’s pool. Cards already in the shipping process are not affected. For any Balance remaining in an inactive Account, the Company may attempt to contact you and may apply the procedures available under applicable law.
16. Technical and security risks
16.1. The Services depend on internet access, devices, third-party platforms, and other technologies that we do not fully control.
16.2. We do not guarantee that the Services will be uninterrupted, error-free, secure, or available on every device or in every location.
16.3. You are responsible for the equipment and internet access needed to use the Services.
16.4. Be cautious of phishing, fake websites, impersonation attempts, and other online scams. If you are unsure whether a communication is from us, contact us through the official contact method shown on the Platform or this Agreement.
17. Eligibility, identity verification, restricted use, and prohibited conduct
17.1. You must not use the Services if applicable law prohibits you from doing so.
17.2. You represent that you are not located or resident in any country or territory where use of the Services is prohibited by applicable law, sanctions or other rules.
17.3. You represent that you are not listed on any government sanctions or restricted-party list (a “Sanctions List”).
17.4. Restricted jurisdictions. We may restrict or block access to the Services in certain jurisdictions, territories, or locations at any time. The availability of the Services and of each feature (including Packs, mystery Packs, Rip Battles, paid giveaway entries, purchases, bids, offers, listings, deposits, withdrawals, Promo Credit, the Buyback, and shipping) is determined by rules set for each country and, in the United States, for each state. These rules determine whether a feature is available, the minimum age (which is 18 in all locations), and whether identity verification is required. Currently, Packs, mystery Packs, and Rip Battles are not available in Belgium, and mystery Packs, Rip Battles, and paid giveaway entries are not available in California, Washington, Idaho, and New York. The Services are not available in any jurisdiction where they are prohibited. Where your declared location and your detected location differ, the stricter rules apply, and actions affected by the mismatch are rejected. You must provide your date of birth when you register, and you cannot complete registration if you are under 18.
17.5. Identity verification. You must complete identity verification before you request a withdrawal and before you request shipping of a Card. For this purpose, you provide your first name and last name, and your date of birth and country are taken from your Account profile. Identity verification may be carried out by a third-party identity verification provider. The rules that apply in your country or state may also require identity verification before other actions.
17.6. Anti-money laundering and fraud. You may hold only one Account. You must not use the Platform for any fraudulent purpose. The Company may monitor transactions and report suspicious activity to competent authorities.
17.7. Sanctions listing and circumvention. If you become listed on a Sanctions List, you must immediately stop using the Services. Any attempt to circumvent the restrictions in this Section 17, including through VPNs, proxies, false location information, or similar methods, is a breach of this Agreement.
17.8. Prohibited conduct. Without limiting Sections 17.6 and 17.7, you must not, and must not attempt to: (a) create or operate more than one Account, share an Account, or use another person’s Account, identity, or payment method; (b) use bots, scripts, automated tools, or any unauthorized software to access the Platform, open Packs, place bids, enter giveaways, or claim Rewards; (c) exploit any bug, error, glitch, or vulnerability in the Platform, including in odds, prices, Values, Buyback amounts, or the random-number process, as further described in Section 9.4; (d) manipulate or attempt to manipulate prices, Values, auctions, or the Marketplace, including through wash trading, shill bidding, coordinated listings, or trading between Accounts that you control or are affiliated with; (e) collude with other users, including in Rip Battles, auctions, giveaways, or promotions; (f) transfer value between users other than through the ordinary use of the Marketplace, or buy, sell, or offer Balance, Promo Credit, Points, Accounts, or Cards outside the Platform; (g) use stolen or unauthorized payment methods; (h) interfere with, disrupt, overload, or circumvent the security, geolocation, or identity verification controls of the Platform; (i) provide false, misleading, or incomplete information; or (j) harass, defraud, or mislead other users or the Company’s staff.
18. Changes to the Services and this Agreement
18.1. We may change, suspend, or discontinue any part of the Services.
18.2. We may update this Agreement from time to time. The updated version will be posted on the Platform with a new “Last updated” date.
18.3. Your continued use of the Services after the updated Agreement becomes available means that you accept the updated version.
19. Disclaimers
19.1. To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
19.2. To the maximum extent permitted by applicable law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, compatibility, and uninterrupted or error-free operation.
19.3. We do not guarantee that the Services will meet your expectations or achieve any particular result.
20. Limitation of liability
20.1. To the maximum extent permitted by applicable law, the Company, its affiliates, and their respective directors, officers, employees, contractors, agents, service providers, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, goodwill, data, content, opportunity, anticipated savings, reputation, or use, arising out of or related to the Services or this Agreement.
20.2. To the maximum extent permitted by applicable law, the Company’s total aggregate liability arising out of or related to the Services or this Agreement will not exceed the lesser of (a) the amount you paid to the Company for the Services giving rise to the claim during the 12 (twelve) months before the event giving rise to liability, and (b) USD 100.
20.3. The limitations in this section apply whether the claim is based on contract, tort, negligence, strict liability, statute, warranty, misrepresentation, or any other legal theory, even if we have been advised of the possibility of such damages.
20.4. Nothing in this Agreement limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.
20.5. Without limiting Section 20.1, and to the maximum extent permitted by applicable law, the Company will not be liable for any loss or damage arising out of or in connection with: (a) the outcome of any Pack opening, Rip Battle, promotion, or giveaway; (b) any change in the Value or collectible value of any Card, any Buyback rate offered or declined, or the unavailability of the Buyback or the Marketplace; (c) any act, omission, or default of any other user, including in Marketplace transactions, or any dispute between you and another user; (d) any temporary or permanent, partial or full suspension, interruption, or discontinuation of the Services, whether by decision of the Company or by acts of third parties; (e) any transaction that cannot be completed or cleared by our payment service providers, including because of insufficient funds or identity or location issues; (f) unauthorized access to your Account resulting from your failure to keep your credentials secure; (g) any delay, error, or failure of a carrier, grading company, Vault provider, or other third party; or (h) any use of the Services by you or any other user in breach of applicable law.
20.6. Where the Company is liable for the loss of, or damage to, a Card, its liability is limited to replacing the Card with a Card of the same type and grade or, at the Company’s option, crediting your Balance with an amount equal to the Card’s Value at the time of the loss.
20.7. You use the Services at your own risk. You acknowledge that the Company has set its prices and entered into this Agreement in reliance on the limitations and exclusions of liability in this Section 20, which form an essential basis of the bargain between you and the Company.
21. Indemnity
21.1. To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, contractors, agents, service providers, licensors, and partners from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your breach of this Agreement or any applicable policy;
- your use or misuse of the Services;
- your content;
- your violation of applicable law or third-party rights; or
- your fraud, negligence, willful misconduct, or unauthorized activity.
22. Governing law and disputes
22.1. Governing law. These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Cyprus.
22.2. If you have a complaint, please contact us first at support@shinycatch.com. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of the Republic of Cyprus. If you are a consumer, you also retain any right under mandatory law to bring proceedings in the courts of your country of residence and to rely on the mandatory consumer protection rules of that country.
23. Assignment
23.1. You may not assign, transfer, or delegate your rights or obligations under this Agreement without our prior written consent.
23.2. We may assign, transfer, or delegate our rights or obligations under this Agreement, in whole or in part, to an affiliate, successor, acquirer, service provider, distributor, platform provider, or other third party, subject to applicable law.
24. Entire agreement and general provisions
24.1. Force majeure. The Company will not be liable for any failure or delay in performing its obligations caused by events or circumstances beyond its reasonable control, including natural disasters, epidemics, war, terrorism, acts of governmental or regulatory authorities (including changes in law or regulatory action affecting the Services), strikes or shortages, failures or delays of carriers, grading companies, Vault providers, payment service providers, banks, or hosting providers, failures of telecommunications or internet infrastructure, power outages, and hacking, malware, cyber-attacks, or data breaches not caused by the Company’s failure to implement reasonable security measures. The Company’s obligations will be suspended for as long as the event continues, and the Company will use reasonable efforts to mitigate its effects.
24.2. No waiver. Any failure or delay by the Company in exercising or enforcing any right or provision of this Agreement does not constitute a waiver of that right or provision. A waiver is effective only if given by the Company in writing and applies only to the specific instance for which it is given.
24.3. Electronic communications. You authorize us to send you notices, advertisements, and other communications by email and web push notifications. This authorization will continue until you request us to remove you from our email list or disable web push notifications.
24.4. Relationship of the parties. Nothing in this Agreement creates any partnership, joint venture, agency, fiduciary, employment, or trust relationship between you and the Company. The Company’s storage of Cards is limited to what is expressly described in Section 12.
24.5. Third-party rights. Except for the Company’s affiliates and the persons referred to in Sections 20 and 21, who may rely on and enforce the provisions made for their benefit, no third party has any right to enforce any term of this Agreement.
24.6. Severability. If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, unlawful, or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid, lawful, and enforceable.
